Terms of Service

Welcome to AstraStaff AI (“AstraStaff,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the AstraStaff AI platform, including our website, applications, APIs, and services (collectively, the “Service”). By creating an account or otherwise using the Service, you agree to be bound by these Terms.
1. Eligibility & Accounts
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2. Service Description
AstraStaff provides an autonomous AI-driven recruiting engine that ingests candidate data, conducts AI-mediated interviews, and processes placement transactions on your behalf. Certain features rely on third-party services (including but not limited to OpenAI-compatible LLM providers, Stripe for payments, and GitHub public APIs for sourcing).
3. Fees & Billing
The Service offers two billing tiers:
- SaaS Tier: $499/month plus usage-based charges ($0.25 per candidate parsed, $0.25 per voice call minute).
- Enterprise Pay-Per-Hire: $0 upfront, with an automatic $1,000 fee charged to your payment method upon each signed placement contract.
All fees are non-refundable except as required by law or expressly stated in these Terms. By providing payment information, you authorize AstraStaff and its payment processor (Stripe) to charge your card in accordance with the tier you select.
4. 30-Day Replacement Warranty
For placements billed under the Enterprise Pay-Per-Hire tier, if the placed candidate is separated from your organization within 30 days of deployment for any reason other than material misconduct by your organization, AstraStaff will provide one replacement placement at no additional charge.
5. Candidate Data & Masking
AstraStaff applies server-side masking to candidate personally identifiable information (PII) prior to any signed placement. You agree not to attempt to circumvent, reverse-engineer, or otherwise defeat this masking. Any successful placement grants you a limited, non-transferable right to contact and employ the identified candidate.
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable law; (b) use the Service to engage in discriminatory hiring practices; (c) reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service; (d) resell or sublicense access to the Service without express written permission; (e) input any content that contains malware, viruses, or malicious code; (f) attempt to bypass rate limits or abuse the AI interview endpoints.
7. Intellectual Property
All rights, title, and interest in and to the Service (excluding your data) are and will remain the exclusive property of AstraStaff AI and its licensors. Nothing in these Terms grants you any right, title, or interest in any AstraStaff trademarks, logos, or trade names.
8. AI Output Disclaimer
The Service uses large language models to generate interview questions, candidate assessments, and contract text. AI-generated output may contain errors and should not be relied upon as a substitute for legal, employment, or professional advice. You are solely responsible for reviewing all AI-generated content before use.
9. Warranties & Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. ASTRASTAFF DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRASTAFF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY IN ANY MATTER SHALL NOT EXCEED THE AMOUNT YOU PAID TO ASTRASTAFF IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Termination
Either party may terminate this agreement at any time. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations, and dispute resolution) will survive.
12. Governing Law & Disputes
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute arising out of these Terms shall be resolved by binding arbitration in Wilmington, Delaware.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the email address associated with your account. Continued use of the Service after any change constitutes acceptance of the revised Terms.
